
Biography
Evan Cappelli is the Managing Partner of SRFC’s Corporate and Securities Department, a leading corporate practice which has been highly ranked in various national league table rankings.
Mr. Cappelli has experience in a broad range of public and private debt and equity securities offerings, and has advised clients on various other matters, including corporate governance and SEC compliance.
Experience
Mr. Cappelli practiced as a corporate finance and securities lawyer for over a decade at two global law firms before joining SRFC as a partner.
Prior to joining SRFC, Mr. Cappelli was with Milbank LLP and Paul, Weiss, Rifkind, Wharton & Garrison LLP in New York, NY.
Mr. Cappelli’s experience spans a broad range of industries and transactions, having led complex transactions across several continents. These matters have ranged from bespoke matters for emerging growth-stage companies and family office clients to multi-billion-dollar transactions for global corporations and financial institutions.
Mr. Cappelli has represented issuers and investment banks in IPOs and various other public and private equity securities transactions. He also has represented corporate clients and financial institutions in a broad range of debt securities offerings, private debt financings, restructurings and various special situation transactions.
Mr. Cappelli has advised public companies in a diverse range of industries regarding SEC reporting and compliance matters and corporate governance matters. He also has advised corporate clients on the securities and corporate finance aspects of a wide spectrum of transformative transactions, including spin-offs, mergers, acquisitions and divestitures.
Before his career in private practice, Mr. Cappelli worked in the structured finance division of a nationally recognized rating agency.
Bar Association Activities and Pro Bono Experience
As a member of the securities bar, through his participation in New York area bar association committee activities, Mr. Cappelli has coordinated joint efforts by members of the world’s leading law firms and financial institutions to author comment letters to the U.S. Securities and Exchange Commission related to various proposed SEC regulations.
Mr. Cappelli has also represented clients in various pro bono matters, including non-profit organizations advancing causes such as empowering survivors of domestic abuse and fundraising for school athletic programs. Mr. Cappelli has also done pro bono work for the performing arts.
